Please Read These Terms of Use and Conditions of Service Before Using This Site or Mobile Application

Acceptance of Terms
These Terms of Use, along with the VeriFoods Privacy & Cookies Policy (collectively, the "Agreement"), constitute a legal agreement between you and VeriFoods Inc. ("VeriFoods"), a corporation incorporated under the laws of the Province of British Columbia, Canada. This Agreement governs your access to and use of the VeriFoods mobile applications, website www.verifoods.com (the "Website"), and any services provided through the Website or the mobile applications (collectively, the "Services"). The Services are owned and operated by VeriFoods.

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU ARE NOT AUTHORIZED TO USE ANY OF THE SERVICES AND MUST IMMEDIATELY CEASE ANY USE OF THE SERVICES.

VeriFoods reserves the right, at its sole discretion, to modify, add to, or delete any terms and conditions of this Agreement at any time. Such modifications will be effective immediately upon posting of the revised Agreement on the Website or within the mobile applications. Your continued use of the Services after any such changes have been posted signifies your acceptance of the revised terms and conditions. If at any point you do not agree to any portion of the then-current version of our Agreement, the VeriFoods Privacy & Cookies Policy, or any other VeriFoods policy, rules or codes of conduct relating to your use of the Services, your license to use the Services shall immediately terminate, and you must immediately stop using the Services.

Please review the Agreement periodically for changes. If you choose not to accept the terms and conditions of this Agreement at any time, please discontinue your use of the Services immediately.

This Agreement provides important information to you, including your agreement to grant VeriFoods rights to use your content, our limitation of liability to you, your agreement not to use the Services in certain ways, and your agreement to resolve any disputes with us through binding, individual arbitration, except as noted in the Agreement.

1. USER CONSENT AND PERMITTED USE
By accessing or using the VeriFoods Services, including our mobile applications, website, and barcode scanning features ("Services"), you affirm that you have read, understood, and agree to be bound by these Terms of Service ("TOS"). You consent to:

(a) Comply with all applicable laws in using the Services, ensuring that any data transmission complies with these TOS.
(b) Avoid using the Services for illegal purposes or activities.
(c) Refrain from disrupting or interfering with networks connected to the Services.

The Services are designed to:

  • Enable users to scan barcodes of food products to access information and test results.
  • Provide users with detailed product information, ingredients, nutritional facts, and relevant test results.
  • Facilitate informed consumer decisions through access to comprehensive food product data.
  • Publish educational articles and content related to food safety topics.
  • Provide gamification features including XP points, levels, badges, and daily engagement streaks.
  • Offer community features including voting on products to be tested, referral programs, and affiliate partnerships.

Permitted use of the Services is contingent upon adherence to this Agreement. The minimum age to use the Services is set at 14 years of age, reflecting our commitment to responsible use of the Services. VeriFoods does not intentionally collect information from individuals under this age threshold. If such information is inadvertently collected, it will be promptly deleted.

As a condition of your use, you affirm that:

  • You meet or exceed the Minimum Age requirement.
  • You possess the legal authority to enter into this Agreement and to abide by its terms.
  • Your use of the Services will be in strict accordance with this Agreement.
  • All information you provide to us, directly or indirectly through the Services, is accurate, complete, and up-to-date.

Parents or guardians bear responsibility for the conduct of minors under their care in the use of the Services, ensuring compliance with these terms.

2. INTERACTIVE FEATURES AND CONTENT RESPONSIBILITY

A. Content Ownership and Responsibility
When you use VeriFoods, you acknowledge that all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials ("Content"), whether publicly posted or privately transmitted, originates from the individual or entity that provided it. As such, you are solely responsible for all Content you upload, post, email, or otherwise transmit via VeriFoods. VeriFoods does not control Content posted by third parties and, therefore, cannot guarantee its accuracy, integrity, or quality. By using VeriFoods, you may encounter Content that could be deemed offensive, indecent, or objectionable. VeriFoods will not be liable for any Content, including any errors, omissions, or damages incurred as a result of the use of any Content posted, emailed, or otherwise transmitted via VeriFoods.

B. Blog and Article Content
VeriFoods publishes articles, blog posts, and other editorial content on food safety topics through the Services ("Article Content"). Article Content may include editorial commentary, summaries of laboratory test results, educational information, analysis of food industry practices, and other informational material. Users may interact with Article Content through reactions, comments, sharing, and other engagement features made available within the Services.

Article Content is provided for general informational and educational purposes only and does not constitute medical advice, professional dietary guidance, or any other form of professional advice. Users should not rely on Article Content as a substitute for consultation with qualified healthcare or nutrition professionals. VeriFoods makes no representations or warranties regarding the completeness, accuracy, or timeliness of Article Content.

VeriFoods reserves the right to moderate, edit, or remove user comments and interactions associated with Article Content at any time and for any reason, without prior notice. Certain Article Content may be designated as premium content and restricted to subscribers of paid subscription tiers.

C. Prohibited Use of Services

You agree not to use VeriFoods Services to:

  • Transmitting Content that is illegal, harmful, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, hateful, or discriminatory.
  • Harm or attempt to harm minors.
  • Impersonating any person or entity, or misrepresenting your affiliation with any person or entity, even as a parody.
  • Manipulating identifiers to disguise the origin of any Content.
  • Transmitting Content without the right to do so under law or contractual obligations.
  • Infringing on the intellectual property rights of others.
  • Transmitting unsolicited or unauthorized advertising, "junk mail," "spam," "chain letters," "pyramid schemes," or any form of solicitation in unauthorized areas.
  • Transmitting any material that contains harmful computer code.
  • Disrupting the normal flow of dialogue or negatively affecting others' ability to engage in real-time exchanges.
  • Interfering with or disrupting the Service or networks connected to the Service, or disobeying network rules.
  • Manipulating or abusing the referral program, affiliate program, promo code system, vote-to-test feature, or gamification features through fraudulent, deceptive, or automated means.
  • Creating multiple accounts for the purpose of circumventing usage limits, abusing promotional offers, or manipulating gamification features.

D. License, Monitoring, and Content Management
License Grant to VeriFoods
By sharing, posting, or submitting any material or content to VeriFoods, you grant VeriFoods a worldwide, royalty-free, perpetual, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content (in whole or part) in connection with the operation of the Services, related marketing, and promotional activities. This license includes the right for VeriFoods to make your content available to other companies, organizations, or individuals who partner with VeriFoods for the syndication, broadcast, distribution, or publication of such content on other media and services. You understand that this license allows VeriFoods to place your content in any part of the Services, including where it may be used in a commercial context. You retain all of your ownership rights in your content but grant VeriFoods the rights described. Furthermore, you grant VeriFoods the right to use your name, persona, and likeness in connection with your content, subject to VeriFoods's Privacy Policy.

Monitoring and Enforcement

VeriFoods actively endeavors to create a safe and compliant environment for all users. To this end, VeriFoods reserves the right, though not the obligation, to:
Monitor content uploaded to the Services for compliance with these Terms of Service (TOS), our community standards, and applicable laws and regulations.
Review, filter, edit, refuse to post, or remove any content at any time and for any reason, without prior notice. This includes content that VeriFoods deems to violate these TOS, our community guidelines, or any applicable laws, or to be otherwise objectionable or harmful.
Take necessary actions to prevent misuse of the Services, including but not limited to, reporting any illegal activities to law enforcement authorities, taking legal action against violators of these TOS, and cooperating fully with any law enforcement inquiries or court orders requesting or directing VeriFoods to disclose the identity of anyone posting or transmitting information or materials.
Rights and Responsibilities

You acknowledge that you are solely responsible for the content you submit to VeriFoods and the consequences of posting or publishing it. VeriFoods does not endorse any content or any opinion, recommendation, or advice expressed therein, and VeriFoods expressly disclaims any and all liability in connection with user content.
You agree to indemnify and hold harmless VeriFoods, its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Services, or from or in connection with your content.

By using the Services, you acknowledge that VeriFoods does not pre-screen content, but that VeriFoods and its designees have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Services. Without limiting the foregoing, VeriFoods and its designees will have the right to remove any content that violates these TOS or is deemed by VeriFoods to be objectionable.

E. User Responsibility and Indemnification

You are solely responsible for your use of VeriFoods Services and the Content you provide. You agree to indemnify and hold harmless VeriFoods, its affiliates, and its users from any claims, damages, losses, liabilities, costs, and expenses (including attorney's fees) arising from or relating to your Content or your use of VeriFoods Services that violates these TOS or any law.

Using VeriFoods Services, you agree to abide by these guidelines, ensuring a respectful and lawful user experience for all participants.

3. ACCOUNT REGISTRATION AND MANAGEMENT

Registration Requirements
To fully engage with VeriFoods and access its exclusive features, users are required to complete a registration process and create a personal account. This registration process necessitates the provision of a valid email address as a fundamental step towards creating your VeriFoods account. For access to premium features and enhanced account capabilities, VeriFoods implements a verification process that requires users to verify their phone number, thereby granting verified status to the account. This step is done to keep the community free of bots and spam, and the phone number is not used for any other reason after verification and is never shared with any person or entity outside of our authentication partner.

Authentication Methods
VeriFoods offers multiple methods for account registration and sign-in, including email and password, Google Sign-In, and Apple Sign-In. When you choose to register or sign in using a third-party authentication provider (such as Google or Apple), your use of that provider's services is governed by their respective terms of service and privacy policies. VeriFoods receives limited profile information from these authentication providers, which may include your name, email address, and profile identifier. You are solely responsible for maintaining the security of any third-party accounts used for authentication with VeriFoods. VeriFoods is not responsible for any unauthorized access to your VeriFoods account resulting from a compromise of your third-party authentication credentials.

Accuracy of Information
Upon registering for a VeriFoods account, you commit to supplying truthful, complete, and up-to-date information about yourself. It is imperative that you promptly update any piece of information that undergoes change to ensure the continuous accuracy of your account details. VeriFoods relies on this accuracy for the delivery of personalized and effective service to you.

Security and Confidentiality
The security of your VeriFoods account hinges on your diligence in maintaining the confidentiality of your account credentials, including your password and any other piece of information that forms part of your login process. You are solely responsible for safeguarding this information against unauthorized access and use.

Responsibility for Account Activities
You bear full responsibility for all activities conducted through your VeriFoods account. This encompasses any actions taken under your account credentials, regardless of whether you have expressly authorized such activities. In the event of any unauthorized use of your account or any other breach of security, you are required to notify VeriFoods promptly. VeriFoods will take swift actions to secure your account and mitigate any potential harm. However, VeriFoods cannot be held liable for any loss or damage arising from your failure to comply with this security obligation.

Account Security Measures
VeriFoods employs robust security measures to protect your account and personal information against unauthorized access and misuse. Despite these efforts, the absolute security of information transmitted over the internet cannot be guaranteed. As such, you are urged to exercise caution and adopt strong passwords, refrain from sharing your account details with others, and ensure the security of your own devices used to access VeriFoods Services.

Termination and Suspension
VeriFoods may terminate or suspend your account for any reason, at our sole discretion, including but not limited to for breach of these Terms.

VeriFoods reserves the right to suspend or terminate your account with or without cause at any time and such termination shall be effective immediately. VeriFoods may also terminate your account if it is determined that you have violated any terms of this agreement, engaged in unlawful activities through the use of VeriFoods Services, or provided inaccurate or fraudulent account information. Such actions are taken to preserve the integrity and security of VeriFoods Services and its user community.

By registering for a VeriFoods account, you acknowledge that you have read, understood, and agreed to adhere to these account registration and management terms, ensuring a respectful, secure, and lawful use of VeriFoods Services.

4. PRIVACY
We collect and use your personal information in accordance with our Privacy Policy. By using the App, you consent to such collection and use and warrant that all data provided by you is accurate. Our privacy policy can be accessed on the web at https://www.verifoods.com/privacy

5. THIRD-PARTY SERVICES AND ARTIFICIAL INTELLIGENCE INTEGRATION

Overview of Third-Party Service Integration

VeriFoods enhances user experience by integrating various third-party services and databases. These services currently include, but are not limited to, providing product information, nutritional data, and test results. The integration of these services is designed to offer comprehensive and reliable information about food products directly within the VeriFoods app.

Accuracy, Reliability, and Availability
While VeriFoods strives to curate and integrate high-quality third-party data and services, we do not guarantee the accuracy, reliability, or uninterrupted availability of the information they provide. Users should be aware that third-party data operates independently of VeriFoods, and their information is subject to change without notice to VeriFoods. Therefore, VeriFoods cannot be held responsible for any discrepancies, errors, or downtime in the services provided by these third parties.

Expansion and Future Integrations
VeriFoods continuously seeks to improve and expand the range of services offered within our app. This may include the addition of new third-party databases and services that offer valuable information about food products. Any new integrations will be selected with the aim of enhancing the user experience, subject to the same considerations of accuracy, reliability, and availability as our existing third-party services.

Artificial Intelligence (AI) Use
VeriFoods incorporates Artificial Intelligence (AI) technologies, including but not limited to OpenAI GPT-4 and GPT-5 language models, to enrich our app's capabilities. AI technologies are used within the Services for the following purposes, among others:

  • Extraction and analysis of product ingredient lists from labels and manufacturer data.
  • Nutritional analysis and product scoring based on ingredient composition, additive profiles, and other relevant factors.
  • Generation and assistance with educational article content related to food safety topics.
  • Personalized product recommendations and safety assessments based on user preferences and dietary profiles.
  • Analysis and summarization of laboratory test results for presentation to users.

AI-generated content and analysis within the Services are reviewed by VeriFoods but may nonetheless contain inaccuracies, errors, or omissions. Users should exercise independent judgment and verify AI-generated information before making decisions based on such information, particularly with respect to health, dietary, or consumption decisions. VeriFoods makes no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated content. AI models and technologies used by VeriFoods may be updated, changed, or replaced at any time without prior notice to users.

User Discretion Advised
We encourage users to exercise their own judgment and discretion when relying on information provided by VeriFoods, including test results, nutritional information, and product data obtained through the app. For critical decisions, especially those related to health conditions, allergies, or dietary restrictions, we recommend consulting with appropriate healthcare professionals.

Feedback and Improvements
VeriFoods welcomes user feedback on the integration of third-party services and the implementation of AI within our app. User input is invaluable as we continuously work to improve the relevance, quality, and range of services offered. 6. DISCLAIMER OF TEST RESULTS AND HEALTH INFORMATION

Not Medical or Health Advice
The information, test results, and product data provided by VeriFoods, including but not limited to food composition, nutritional values, ingredient analysis, and any other test results accessed through our Services ("Information"), are for informational purposes only and are not intended to be a substitute for professional medical advice, diagnosis, or treatment. The Information should not be used to diagnose, treat, cure, or prevent any health problem or disease without consulting with a qualified healthcare provider. VeriFoods is not a medical device, and the Information it provides should not be interpreted as medical advice or used to make medical decisions.

No Health Claims or Guarantees
VeriFoods does not make any claims regarding the health benefits, safety, or efficacy of any food products scanned or information provided through our Services. We do not guarantee that the Information is complete, accurate, current, or error-free. Test results provided may be influenced by various factors including but not limited to sample collection methods, testing methodologies, laboratory variations, and the inherent limitations of scientific testing.

Information Sources and Limitations
The Information provided by VeriFoods may be sourced from third-party databases, scientific literature, manufacturer disclosures, laboratory testing, and AI analysis. Due to the diverse nature of these sources, VeriFoods cannot verify the accuracy of all data. Testing methodologies and standards may vary between different sources, and results may change over time as new information becomes available or as product formulations change.

User Responsibility
Users with allergies, food sensitivities, health conditions, or dietary restrictions must not rely solely on the Information provided by VeriFoods to make consumption decisions. You acknowledge and agree that it is your responsibility to:

  • Consult appropriate healthcare professionals regarding your specific health needs
  • Read and verify product labels and manufacturer information before consumption
  • Understand that food products and their compositions may change over time
  • Recognize that individual responses to food products may vary significantly

Allergies and Serious Health Conditions
VeriFoods specifically disclaims any responsibility for adverse reactions or health complications arising from food consumption decisions made based on Information provided through our Services. Individuals with severe allergies, chronic health conditions, or specific nutritional requirements should always consult with qualified healthcare professionals and verify product information directly with manufacturers before consumption.

Risk Acknowledgment
By using VeriFoods, you explicitly acknowledge and accept that you use the Information at your own risk. You understand that relying solely on the Information provided by VeriFoods for making health-related decisions may pose risks to your health and wellbeing.

Indemnification for Health-Related Claims
You agree to indemnify and hold harmless VeriFoods and its affiliates, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from any health-related decision you make based on the Information provided through our Services.

This disclaimer is an integral part of the Terms of Service and should be read in conjunction with all other provisions of this Agreement.

7. FEES, PAYMENTS, AND SUBSCRIPTIONS

Introduction to Fees
VeriFoods values transparency and fairness in its approach to providing services to its users. While many features of VeriFoods are available without charge, VeriFoods reserves the right to introduce fees for access to certain premium portions of the Service or for the Service as a whole. This section outlines our policy on fees, payments, subscriptions, and related user responsibilities.

Subscription Tiers
VeriFoods offers the following subscription tiers:

  • Free Tier: Basic barcode scanning functionality, limited product information, and access to select features of the Services at no cost.
  • Pro Monthly: $6.99 USD per month, providing full access to laboratory test results, advanced product analysis, vote-to-test participation, premium article content, and all other premium features of the Services.
  • Pro Annual: $69.90 USD per year, providing the same access as the Pro Monthly subscription at a reduced annual rate.

Subscription pricing is subject to change. VeriFoods will provide notice of pricing changes through the Services or via direct communication. Changes to pricing will not affect the current billing period of active subscriptions but will apply upon renewal.

Payment Processing
Subscription payments are managed through RevenueCat and processed by the applicable payment platform: Apple (for iOS devices via the App Store), Google (for Android devices via Google Play), or Stripe (for web-based subscriptions). Your payment is subject to the terms and conditions of the applicable payment processor in addition to this Agreement. VeriFoods does not directly store or process credit card or payment information for in-app purchases.

Auto-Renewal
All paid subscriptions automatically renew at the end of each billing period (monthly or annually, as applicable) unless cancelled prior to the renewal date. You may cancel your subscription at any time through the subscription management settings of the applicable platform (App Store, Google Play, or the VeriFoods website). Cancellation will take effect at the end of the current billing period, and you will continue to have access to premium features until that date. No partial refunds or credits will be issued for the remaining portion of any billing period.

Promotional and Gift Codes
VeriFoods may from time to time issue promotional codes, gift codes, or discount codes ("Codes") that may be redeemed for subscription benefits or other features within the Services. The following terms apply to all Codes:

  • Codes are subject to availability, expiration dates, and any usage limits specified at the time of issuance.
  • Unless explicitly stated otherwise, Codes cannot be combined with other Codes or promotional offers.
  • Codes have no cash value and cannot be redeemed for cash, transferred, or sold.
  • VeriFoods reserves the right to void, revoke, or refuse to honor any Code that VeriFoods determines, in its sole discretion, was obtained through fraudulent, deceptive, or unauthorized means, including but not limited to the use of automated scripts, the exploitation of technical errors, or the violation of any applicable terms.
  • VeriFoods reserves the right to modify or discontinue any Code program at any time without prior notice.

Notification of Fees
Before any fees are instituted for parts of the Service that were previously free, or for new premium services, VeriFoods will provide on a best efforts basis, a clear notification to its users.

Responsibility for Payment
You are responsible for all fees and charges associated with your VeriFoods account, including but not limited to, any products or services offered directly by VeriFoods or through third-party vendors and service providers. Payment of all fees and charges must be made at the rates effective for the billing period in which they are incurred. VeriFoods will bill these fees and charges directly to you, and you agree to make payment in full, including all applicable taxes related to the use of VeriFoods services and any other related purchases.

Prepaid Fees
Certain services or content within VeriFoods may require the payment of a prepaid fee. This Prepaid Fee, along with any applicable taxes and additional fees, will be clearly communicated to you and must be paid in advance. Access to the specific service or content will only be granted upon receipt of all applicable fees, including the Prepaid Fee.

User Agreement to Pay
By engaging with any fee-based portion of VeriFoods services, you acknowledge and agree to VeriFoods's fees and payment policy. You confirm your understanding that your access to these portions of the Service is contingent upon your prior agreement to pay such charges and your compliance with the payment terms as outlined herein.

Taxes and Additional Charges
You are responsible for paying any taxes that apply to your use of VeriFoods services. This includes any taxes imposed on your purchase of products or services through VeriFoods. VeriFoods will make reasonable efforts to inform you of these taxes at the time of purchase, but it remains your responsibility to pay any taxes that apply according to the laws of your jurisdiction.

Changes to Fee Structure
VeriFoods reserves the right to modify its fee structure at any time. Changes will be communicated to users in advance through the VeriFoods platform or via direct communication methods such as email. Your continued use of fee-based services after such changes have been communicated constitutes your acceptance of the new fee structure.

VeriFoods is dedicated to providing valuable food safety and product information services to its users. The introduction of fees for certain premium services is intended to enhance the overall quality and sustainability of VeriFoods. We appreciate your understanding and adherence to our Fees and Payments Policy.

8. VOTE-TO-TEST FEATURE

VeriFoods offers a "Vote-to-Test" feature that allows subscribers to vote on which food products should be prioritized for laboratory testing ("Vote-to-Test"). The following terms govern your use of Vote-to-Test:

  • Vote-to-Test is available exclusively to users with active paid subscriptions (Pro Monthly or Pro Annual).
  • Pro subscribers receive weighted voting influence based on their subscription tier, as described within the Services.
  • Casting a vote for a product does not guarantee that the product will be selected for testing. VeriFoods retains sole and absolute discretion over all testing priorities, schedules, and product selection decisions.
  • Vote results and tallies are advisory in nature and are not binding on VeriFoods. VeriFoods may consider factors beyond vote tallies, including but not limited to product availability, laboratory capacity, testing costs, public health relevance, and editorial priorities, when determining which products to test.
  • VeriFoods reserves the right to modify, suspend, or discontinue the Vote-to-Test feature at any time, with or without notice. No refund, credit, or compensation will be provided in connection with any modification, suspension, or discontinuation of Vote-to-Test.
  • Votes have no monetary value and cannot be transferred, sold, exchanged, or carried over between billing periods unless otherwise specified.

9. STREAKS AND GAMIFICATION FEATURES

VeriFoods incorporates gamification features within the Services designed to encourage user engagement and education ("Gamification Features"). Gamification Features may include, but are not limited to, experience points ("XP"), user levels, achievement badges, daily engagement streaks, and other reward or recognition mechanisms.

The following terms apply to all Gamification Features:

  • Streaks track consecutive days of user engagement with the Services. A streak may be reset if engagement lapses for a specified period as described within the Services.
  • XP, levels, badges, streaks, and all other Gamification Features are provided solely for engagement and entertainment purposes. They have no monetary value whatsoever and do not constitute property of any kind.
  • Gamification rewards and achievements cannot be transferred, sold, exchanged, bartered, or redeemed for real currency, cryptocurrency, gift cards, merchandise, or any other item of value.
  • VeriFoods reserves the right to modify, adjust, reset, or discontinue any Gamification Features at any time, with or without notice. This includes the right to reset user XP, levels, streaks, badges, or any other gamification data. No refund, credit, or compensation will be provided in connection with any such modification, adjustment, reset, or discontinuation.
  • Any attempt to manipulate, exploit, or abuse Gamification Features through automated means, multiple accounts, or other deceptive practices may result in the suspension or termination of your account.

10. REFERRAL PROGRAM

VeriFoods may offer a referral program that allows users to invite others to use the Services through unique referral codes or referral links ("Referral Program"). The following terms apply to the Referral Program:

  • Eligible users may share their unique referral code or referral link with others. When a new user registers for the Services using a valid referral code or link and meets any applicable eligibility requirements, both the referring user and the new user may receive rewards as specified within the Services.
  • Referral rewards are subject to the specific terms, conditions, and eligibility requirements described within the Services at the time of the referral.
  • Attribution windows apply to referral tracking. A referral must be completed within the applicable attribution window to be eligible for rewards.
  • VeriFoods reserves the right to void, revoke, or withhold referral rewards in cases of fraud, abuse, or violation of these Terms, including but not limited to self-referrals, the use of multiple accounts, automated or scripted referrals, referrals made through misleading or deceptive means, or any other conduct that VeriFoods determines, in its sole discretion, to be inconsistent with the spirit and intent of the Referral Program.
  • Referral rewards have no cash value unless explicitly stated otherwise.
  • VeriFoods reserves the right to modify, suspend, or discontinue the Referral Program, including the nature and amount of referral rewards, at any time without prior notice. Changes will apply prospectively and will not affect referral rewards already earned and credited to your account prior to the change.

11. AFFILIATE AND PARTNERS PROGRAM

VeriFoods operates an Affiliate and Partners Program ("Partners Program") that allows approved users to earn commissions by promoting the Services and referring new subscribers. The following terms govern participation in the Partners Program:

Application and Approval
Participation in the Partners Program is by application only. VeriFoods reserves the right to approve or reject any application in its sole discretion and without obligation to provide reasons for rejection. Approval to participate in the Partners Program does not create an employment, agency, partnership, or joint venture relationship between you and VeriFoods. Partners are independent contractors.

Commission Structure
Approved partners ("Partners") earn a commission of twenty percent (20%) on qualifying referred subscriptions generated through their unique partner links and promotional codes. Commission rates, qualifying events, and payment terms are subject to the specific terms of the partner agreement entered into between VeriFoods and each Partner. VeriFoods reserves the right to modify commission rates and structures at any time upon reasonable notice to Partners.

Commission Tracking and Payment
Commissions are tracked through unique partner links and promotional codes assigned to each Partner. Commission payments are processed according to the terms specified in the applicable partner agreement. VeriFoods's tracking and reporting data shall be the sole basis for commission calculations, and Partners agree to accept VeriFoods's data as final and binding.

Partner Obligations
As a Partner, you agree to:

  • Promote the Services honestly and accurately, without making false, misleading, exaggerated, or unsubstantiated claims about VeriFoods, its products, its test results, or the Services.
  • Comply with all applicable laws and regulations, including but not limited to the United States Federal Trade Commission (FTC) Endorsement Guides, the Canadian Competition Act, and any other applicable advertising standards and consumer protection laws in your jurisdiction.
  • Clearly and conspicuously disclose your affiliate relationship with VeriFoods in all promotional content, in compliance with FTC guidelines and applicable disclosure requirements. This includes using appropriate disclosures such as "#ad," "#sponsored," "#affiliate," or similar clear language.
  • Refrain from engaging in any deceptive, misleading, or unethical promotional practices, including but not limited to spam, unsolicited communications, cookie stuffing, trademark bidding on VeriFoods branded terms without prior written authorization, or any promotion that could harm the reputation or goodwill of VeriFoods.
  • Comply with all additional guidelines, policies, and codes of conduct that VeriFoods may establish for the Partners Program from time to time.

Termination of Partner Accounts
VeriFoods reserves the right to terminate any Partner's participation in the Partners Program at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, violation of the partner agreement, fraudulent activity, misleading promotional practices, failure to comply with applicable advertising disclosure requirements, or any conduct that VeriFoods determines to be detrimental to the reputation or interests of VeriFoods. Upon termination, any unpaid commissions that have not yet vested or been approved may be forfeited.

12. INTELLECTUAL PROPERTY RIGHTS AND INFRINGEMENT POLICY

Respect for Intellectual Property
VeriFoods deeply respects the intellectual property rights of all creators, including copyright holders, and is committed to protecting these rights within the scope of our services. Your use of VeriFoods does not confer any rights to you in the intellectual property owned by VeriFoods, our licensors, or any third party. Commercial use of any content available through VeriFoods, including reproduction, modification, distribution, or public display, without obtaining the appropriate license from us or our licensors, is strictly prohibited.

Infringement Policy
To uphold the rights of copyright holders and address potential intellectual property infringements effectively, VeriFoods has established a comprehensive policy. This policy facilitates the prompt investigation and resolution of allegations of copyright infringement in a manner that respects the legal rights of all parties involved.

If you believe that your copyright-protected work has been used on VeriFoods in a way that constitutes copyright infringement, please contact VeriFoods's Copyright Agent at admin@verifoods.com with the following information:

  • A. Verification: A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  • B. Identification of Copyrighted Work: Clear identification of the copyrighted work claimed to have been infringed, or, if multiple works at a single online site are covered by a single notification, a representative list of such works.
  • C. Location of Infringing Material: Identification of the material that is claimed to be infringing or to be the subject of infringing activity, with enough detail to allow VeriFoods to locate the material within our services.
  • D. Contact Information: Information reasonably sufficient to permit VeriFoods to contact the complaining party, such as an address, telephone number, and, if available, an email address.
  • E. Good Faith Belief: A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  • F. Accuracy Statement: A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Response to Infringement Notices
Upon receipt of a valid infringement notice, VeriFoods will take appropriate action, which may include removing or disabling access to the infringing material and, in appropriate circumstances, terminating the accounts of users who are repeat infringers. VeriFoods will make a good faith attempt to contact the user who posted the infringing content so they may make a counter-notification.

Counter-Notification
Users who believe their content was removed or disabled by mistake or misidentification may submit a counter-notification. VeriFoods provides this process in compliance with copyright law, allowing users the opportunity to contest the removal or disabling of their content.

13. UPDATES AND MAINTENANCE
We may require you to install updates to the App to continue using it. Your continued use of the App after an update is released constitutes your acceptance of the update.

14. JURISDICTION AND APPLICABLE LAW

The Terms of Service are subject to the laws of Canada and specifically to those of the Province of British Columbia, disregarding any principles of conflicts of law. By using the Service, you consent to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada for any legal proceedings that relate to the Service or arise from any disagreements regarding the interpretation or violation of these Terms of Service.

Additional Rights for California Residents (CCPA)
If you are a resident of the State of California, you may be entitled to additional rights under the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020 (collectively, "CCPA"). The following is a summary of your rights under the CCPA as they relate to your use of the Services:

  • Right to Know: You have the right to request that VeriFoods disclose the categories and specific pieces of personal information that VeriFoods has collected about you, the categories of sources from which such personal information was collected, the business or commercial purpose for collecting such personal information, and the categories of third parties with whom VeriFoods shares personal information.
  • Right to Delete: You have the right to request that VeriFoods delete any personal information about you that VeriFoods has collected from you, subject to certain exceptions provided by law.
  • Right to Opt-Out of Sale: You have the right to opt out of the sale of your personal information. VeriFoods does not sell personal information as defined under the CCPA.
  • Right to Correct: You have the right to request that VeriFoods correct inaccurate personal information that VeriFoods maintains about you.
  • Right to Non-Discrimination: VeriFoods will not discriminate against you for exercising any of your CCPA rights. We will not deny you goods or services, charge you different prices, provide a different level or quality of goods or services, or suggest that you may receive a different price or different level or quality of goods or services for exercising your rights.

15. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. We will provide notice of any changes by posting the updated Terms on the App. Your continued use of the App following the posting of revised Terms means that you accept and agree to the changes.

16. WARRANTY
SOME JURISDICTIONS, INCLUDING THE PROVINCE OF QUEBEC, DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR CONDITIONS, SO THE FOLLOWING EXCLUSIONS MAY NOT APPLY TO YOU.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SERVICES AND ANY CONTENT OR INFORMATION THAT MAY BE OBTAINED ON, FROM, OR THROUGH THE SERVICES IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFECT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ANY CONTENT OR INFORMATION THAT MAY BE OBTAINED ON, FROM, OR THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OR CONDITION OF ANY KIND, AND VERIFOODS HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY; MERCHANTABLE QUALITY; SATISFACTORY QUALITY; FITNESS FOR A PARTICULAR PURPOSE; ACCURACY; QUIET ENJOYMENT; AND NON-INFRINGEMENT, VIOLATION, OR MISAPPROPRIATION OF THIRD PARTY RIGHTS, INCLUDING INTELLECTUAL PROPERTY RIGHTS. VERIFOODS DOES NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE SERVICES; THAT THE FUNCTIONS CONTAINED IN OR PERFORMED BY THE SERVICES WILL MEET YOUR REQUIREMENTS; THAT THE OPERATION OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE; OR THAT DEFECTS IN THE SERVICES WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY VERIFOODS SHALL CREATE A WARRANTY. EXCEPT AS MAY OTHERWISE BE SET OUT IN WRITING BY VERIFOODS, SHOULD THE SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

17. LIMITATION OF LIABILITY
SOME JURISDICTIONS, INCLUDING THE PROVINCE OF QUEBEC, DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, LOSSES, OR LIABILITY, SO THE FOLLOWING EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU.

YOU ACKNOWLEDGE AND AGREE THAT YOUR ACCESS TO OR USE OF THE SERVICES OR ANY CONTENT OR INFORMATION THAT MAY BE OBTAINED ON, FROM, OR THROUGH THE SERVICES, IS AT YOUR SOLE RISK. YOU ALSO ACKNOWLEDGE AND AGREE THAT VERIFOODS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AGENTS, SERVICE PROVIDERS, AND OTHER REPRESENTATIVES WILL NOT BE RESPONSIBLE OR LIABLE TO YOU IN ANY MANNER FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY LOSS OR DAMAGE, OR ANY OTHER LIABILITY, ARISING FROM, IN CONNECTION WITH, OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICES OR ANY CONTENT OR INFORMATION OBTAINED BY YOU ON, FROM, OR THROUGH THE SERVICES, INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, BUSINESS, MARKETS, SAVINGS, INCOME, PROFITS, USE, PRODUCTION, REPUTATION, OR GOODWILL, ANTICIPATED OR OTHERWISE, AND IRRESPECTIVE OF THE NATURE OF THE CAUSE OF ACTION OR CLAIM, INCLUDING, WITHOUT LIMITATION, BREACH OF CONTRACT (INCLUDING FUNDAMENTAL BREACH), TORT, NEGLIGENCE, GROSS NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. TO THE EXTENT THAT THE FOREGOING LIMITATION DOES NOT APPLY, IN NO EVENT WILL VERIFOODS'S TOTAL AGGREGATE LIABILITY IN CONNECTION WITH OR UNDER THIS AGREEMENT, INCLUDING FROM YOUR USE OF, OR INABILITY TO MAKE USE OF, THE SERVICES OR ANY CONTENT OR INFORMATION THAT MAY BE OBTAINED ON, FROM, OR THROUGH THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF, OR INABILITY TO MAKE USE OF, THE SERVICES, EXCEED TEN CANADIAN DOLLARS ($10 CAD) (OR THE EQUIVALENT IN LOCAL CURRENCY). FOR GREATER CERTAINTY, THE EXISTENCE OF ONE OR MORE CLAIMS UNDER THIS AGREEMENT WILL NOT INCREASE THIS MAXIMUM LIABILITY AMOUNT.

The limitation above reflects the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in this Agreement is found to have failed of its essential purpose.

18. INDEMNIFICATION
You agree to bear the costs and, at your own expense, indemnify, defend, and absolve VeriFoods, along with its employees, representatives, suppliers, and agents, from any liabilities, claims, lawsuits, or legal proceedings initiated by a third party due to the content you provide, publish, or disseminate via the Service, your utilization of the Service, your connection to the Service, your violation of these Terms of Service, or any infringement of another's rights resulting from your actions. This indemnification extends to but is not limited to, any claims related to health decisions or actions taken based on the information, test results, or product data provided by the Services, as well as any claims arising from your participation in the Partners Program, Referral Program, or any promotional activity conducted in connection with the Services. You are responsible for all related expenses, including but not limited to, legal fees and costs incurred on a solicitor and own-client basis that arise from or in connection to any such legal actions linked to your conduct. This obligation to indemnify and hold harmless will continue even after these Terms of Service have ended.

19. INTERNATIONAL ACCESS CONSIDERATION
VeriFoods is tailored for users within the United States and Canada and does not guarantee the suitability or availability of its content for users located outside of the United States and Canada. While the app is designed primarily for the North American market, VeriFoods is domiciled in Canada, Province of British Columbia, and is subject to Canadian laws and regulations. Should you access VeriFoods from a location outside of the United States or Canada, it is your responsibility to adhere to both local and international laws applicable to your use of the Service.

20. REFUNDS
VeriFoods does not provide refunds for any purchases or subscriptions. All sales are final. This includes, without limitation, subscription fees, prepaid fees, and any other payments made in connection with the Services. If your subscription is cancelled, you will continue to have access to premium features until the end of your current billing period, but no refund or pro-rated credit will be issued for the unused portion of that period.
